Terms of Service

1. Acceptance of Terms

By accessing or using TrackItSimple (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, do not use the Service.

2. Description of Service

TrackItSimple is a field operations and asset management platform that enables companies to manage installation teams, track field work, collect digital signatures, and generate job reports. The Service is provided by the operators of TrackItSimple, located in Saugerties, New York.

3. Accounts and Access

• Accounts are created by organization administrators. Individual employees do not self-register.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately at johnmiannelli@gmail.com if you become aware of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload or transmit content that is unlawful, harmful, or infringes on the rights of others.
• Attempt to gain unauthorized access to any part of the platform or its infrastructure.
• Interfere with or disrupt the integrity or performance of the Service.
• Collect or harvest data from the Service without explicit authorization.

5. Data and Content

Your organization retains ownership of all data you input into the Service, including installation records, photos, signatures, and store information. By using the Service, you grant TrackItSimple a limited license to store, process, and display this data solely for the purpose of providing the Service to you. We do not claim ownership of your data and will not use it for any other purpose.

6. Location Data

The Service captures GPS coordinates when field employees record installations. By deploying the Service to your employees, your organization confirms that it has obtained any required consents from employees for this data collection, in accordance with applicable employment and privacy laws.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control. We will make reasonable efforts to notify administrators of planned downtime in advance.

8. Fees and Payment

Pricing and billing terms are agreed upon separately between TrackItSimple and your organization. Failure to pay applicable fees may result in suspension or termination of access. All fees are non-refundable except as required by applicable law or as explicitly agreed in writing.

9. Intellectual Property

TrackItSimple and its underlying software, design, and documentation are the intellectual property of the Service operators. Nothing in these terms grants you any rights to the TrackItSimple name, logo, or technology beyond the limited license to use the Service as described herein.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Use of the Service is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, TrackItSimple shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid for the Service in the three months preceding the claim.

12. Termination

Either party may terminate this agreement with 30 days' written notice. We may terminate immediately for material breach of these terms. Upon termination, your access to the Service will be revoked. Data retention after termination is governed by our Privacy Policy.

13. Governing Law

These terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Ulster County, New York.

14. Changes to Terms

We may update these Terms of Service from time to time. We will notify account administrators of material changes by email at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.
